Terms of Engagement
The terms that govern any work between you and Vertex Media Solutions Ltd.
Last updated: 2026. These terms apply to any proposal, quote or engagement between Vertex Media Solutions Ltd ("Vertex", "we") and a client ("you"), unless a signed contract between us says otherwise.
Definitions
"Engagement" means any project, retainer or piece of work we agree to carry out for you, as set out in a proposal, quote or statement of work. "Deliverables" means the specific outputs (designs, code, campaigns, reports or similar) produced as part of that engagement.
Proposals & intellectual property
Any proposal, strategy document or quote we send you remains our intellectual property until an engagement is agreed and paid for. Once an engagement is paid in full, ownership of the agreed deliverables transfers to you, with the exception of our own pre-existing tools, frameworks and methods, which we retain the right to reuse on other work.
Fees & payment
Fees are set out in the proposal or quote for each engagement. Retainer work is billed monthly in advance; project work is billed against agreed milestones unless stated otherwise. Late payment may pause active work until settled.
Confidentiality
We treat information you share with us about your business as confidential, and we don't disclose it to third parties except where needed to deliver the work (for example, a platform or tool we're implementing on your behalf).
Warranties & liability
We'll deliver work to a professional standard and in line with what's agreed. We don't guarantee specific commercial outcomes (rankings, revenue, conversion rates) since these depend on factors outside our control, though we'll always give you an honest read on what's realistic before starting.
Termination
Either party can end an ongoing engagement with written notice, as specified in the relevant proposal or contract. You remain responsible for fees for work completed up to the point of termination.
Governing law
These terms are governed by the law of England and Wales.
